What Terms Are Usually Included in a Commercial Lease in Virginia?
A commercial lease in Virginia is a detailed agreement that defines how a business may occupy and use a property, and it usually runs much longer than a residential lease. Most commercial leases identify the premises, the length of the term, the base rent, and how often rent will increase over time. Many also address security deposits, renewal options, and the conditions under which either party may end the lease early.
Beyond those basics, commercial leases often divide operating costs between the landlord and tenant. A gross lease typically folds most expenses into a single rent payment, while a net lease shifts property taxes, insurance, and maintenance costs to the tenant. Other common provisions cover permitted uses of the space, signage, parking, build-out allowances, subleasing and assignment rights, insurance requirements, and indemnification. Virginia gives commercial parties wide freedom to set their own terms, so the written lease controls most of the relationship.
Issues With the Interpretation of a Commercial Lease
Commercial leases tend to be long, technical documents, and a single ambiguous phrase can lead to a costly disagreement. Some of the most common interpretation problems include:
- Unclear definitions of operating expenses, which can lead to disputes over what the tenant must reimburse
- Vague repair and maintenance clauses that fail to separate structural repairs from routine upkeep
- Use clauses that are too narrow for a business to expand its services or too broad to protect a tenant from competing businesses in the same property
- Renewal provisions that do not state how the new rent will be calculated
- Assignment and subleasing clauses that leave out whether the landlord may withhold consent for any reason
- Default and cure provisions that do not clearly state how much notice is required before the landlord may act
When a lease is unclear, Virginia courts generally try to determine what the parties intended from the plain language of the document as a whole. If the wording remains ambiguous, a court may look at outside evidence, such as prior negotiations or the way the parties have acted under the lease. That process can be slow and unpredictable, which is why careful drafting at the outset is often the most effective way to avoid a dispute.
